2011 소고기수입구매 영문계약서 가답안

법학과 국제거래법 리포트입니다. 교수님께서 상품거래 영문계약서를 직접 작성해 보라고 과제를 내 주셔서 리포트를 영문계약서로 제출했습니다. 이것 하나 만드느라 각종 사이트에 정보를 뒤지고, 도서관에서 관련서적 3권을 참고해서 2주동안 머리 싸매고 쓴 작품입니다.

교수님이 가급적 모든 기교(?)를 부려서 가상의 소고기 수입거래 영문계약서를 작성하라고 주문하셨기에, 최대한 머리를 굴리고 또 굴려서 각 조항이 연결되도록 하였습니다. 또한 구체적인 날짜와 숫자까지 정확하게 모순됨이 없도록 최대한 신경을 써서 작성했습니다. 상품코드까지 실제 코드와 같으니까요.

다만, 이 영문계약서의 한가지 문제점은 인코텀스를 CIF 로 쓴 것인데요. CIP나 CPT로 바꾸어야 하고 운송인(Carrier)에 대한 서술이 빠져 있다는 점입니다. 인코텀스2010을 기준으로 할 때, 소고기 수입은 컨테이너로 대량으로 수입해도 CIF를 쓸 수 없기 때문입니다. 이 점을 숙지하시고 바꿔주셔야 합니다.

전혀 영문계약서에 대한 기본 지식이 없이 이 계약서를 해석하는데는 좀 무리가 따를 것입니다. 특히 Payment(대금지불)부분이 기초지식이 없이 이해하기에 다소 어렵게 느껴질 수도 있습니다. 하지만 이 계약서의 백미가 그 부분이란 것을 아시면 좋겠습니다.

하지만, 아래 관련 서적을 참고하시면서 기본용어를 숙지하신 후에는 이 영문계약서가 기존에 영문계약서를 어떻게 써야 할지 모르는 분들에게 참고용으로 많은 도움이 될 것입니다.

AMERICAN MEAT PRODUCTS PURCHASE CONTRACT

This meat sale and purchase contract (hereinafter referred to as the “Contract”) is made on 20th day of April, 2011 by and between Hormel Foods Company, Ltd (the “Seller”), a corporation incorporated under the laws of United States, with its principal place of business at 6452 ORANGE AVE, #3, CYPRESS, CA 90630 U. S. A, and Hong-ik HamBuy Corp, a corporation duly organized and existing under the laws of Republic of Korea(South Korea) with its principal place of business at Hongmoon-gwan Tower, Sang su-dong 71-9, Mapo-gu, Seoul, Republic of Korea (the “Buyer”) in accordance with the terms and conditions hereinafter set forth.

The Buyer(Hong-ik HamBuy Corp.) desires to purchase from the Seller(Hormel Foods Company, Ltd), and the Seller is willing to sell to the Buyer, meat products produced by the Seller under the Hormel Foods Company.
In consideration of the foregoing and of the mutual agreements and covenants contained below, the parties agree as follows:
Art 1. Definitions
For purposes of this Contract, the following terms have the following respective meanings:
1.1 “DOCUMENTATION” means the explanatory material commonly distributed by the Seller with the product and any modifications, translations or updates thereto.
1.2 “INSPECTION” means an actual on-site conformity investigation or examination by Ministry for Food, Agriculture, Forestry and Fisheries of Korea to see that a processing facility conforms with the requirements of this article and the rules and regulations of the department.
1.3 “PACKAGING MATERIALS” means cartons, wrapping materials, or any other container of any kind used for the packaging of meat or meat products.
